TERMS AND CONDITIONS OF USE
QuickMart GH

1. INTRODUCTION
1.1 These Terms and Conditions (“Terms”) govern your access to and use of the QuickMart GH online marketplace and/or e-commerce platform (the “Platform”), operated by QuickMart GH (“QuickMart”, “we”, “us”, “our”).
1.2 By creating an account, accessing, browsing, or using the Platform in any manner, whether as a Customer (buyer of goods) or as a Vendor (seller of goods), you agree to be bound by these Terms, together with our Privacy Policy, Returns Policy, and any other policies published on the Platform.
1.3 If you do not agree with these Terms, you must not use the Platform.
2. ELIGIBILITY
2.1 To use the Platform, you must:
- Be at least 18 years of age or the legal age of majority in Ghana.
- Have the capacity to enter into legally binding contracts under Ghanaian law.
- Provide accurate, current, and complete information during account registration.
3. CUSTOMER TERMS
3.1 Orders and Contracts
(a) When you place an order through the Platform, you are making a binding offer to purchase the selected product(s).
(b) Acceptance occurs only upon confirmation by QuickMart or the Vendor, at which point a binding contract is formed.
(c) QuickMart and/or Vendors reserve the right to reject or cancel orders due to unavailability, pricing errors, or breach of these Terms.
3.2 Pricing and Payment
(a) Prices displayed on the Platform are inclusive of applicable taxes unless otherwise indicated.
(b) Payment methods include online mobile money, bank card, bank transfer, and cash on delivery (where available).
(c) All payments must be cleared before dispatch, except in the case of cash on delivery.
3.3 Delivery
(a) Delivery shall be made to the address specified by the Customer at the time of ordering.
(b) Delivery timelines are indicative only and subject to delays caused by logistics, customs, or other circumstances.
(c) Risk of loss or damage to the goods passes to the Customer upon delivery.
3.4 Returns and Refunds
(a) Customers may return eligible products within the period specified in the QuickMart Returns Policy.
(b) Refunds shall be issued in accordance with the same policy and Ghanaian consumer protection law.
(c) Products that are perishable, intimate, or otherwise restricted by law may not be returnable.
4. VENDOR TERMS
4.1 Vendor Registration
(a) Vendors must apply and be approved by QuickMart before being permitted to list goods on the Platform.
(b) Vendors must provide accurate business details, payment information, and all required permits or licenses.
4.2 Vendor Obligations
(a) Vendors shall only list lawful, genuine, and accurately described products.
(b) Vendors are strictly prohibited from listing counterfeit, unsafe, illegal, or restricted products.
(c) Vendors shall ensure adequate stock levels and timely updates to their inventory.
(d) Vendors are responsible for compliance with all applicable laws and regulations of Ghana.
4.3 Pricing and Payments
(a) Vendors may set their own product prices but must adhere to QuickMart policies and applicable law.
(b) Payments to Vendors shall be remitted after successful delivery and customer confirmation of receipt.
4.4 Commission and Fees
(a) QuickMart GH shall charge a commission fee of eight percent (8%) on each successful sale.
(b) Such commission shall be deducted automatically from vendor payouts.
(c) QuickMart GH reserves the right to review and revise the commission rate at any time, with prior notice to Vendors.
4.5 Fulfilment and Delivery
(a) Vendors shall package and dispatch products promptly upon receipt of order confirmation.
(b) Vendors may use QuickMart’s designated logistics partners or approved alternatives.
(c) Failure to fulfil orders may result in penalties, account suspension, or termination.
4.6 Returns and Customer Service
(a) Vendors are bound by QuickMart’s Returns and Refunds Policy.
(b) Vendors shall cooperate in good faith to resolve customer complaints.
4.7 Termination and Suspension
(a) QuickMart reserves the right to suspend or terminate a Vendor’s account for breach of these Terms, poor performance, or fraudulent activity.
(b) Vendors remain liable for all pending obligations, including refunds, upon termination.
5. INTELLECTUAL PROPERTY
5.1 All intellectual property rights in the Platform, including logos, designs, software, and content, belong exclusively to QuickMart or its licensors.
5.2 Vendors and Customers may not use QuickMart trademarks or branding without prior written consent.
6. USER-GENERATED CONTENT
6.1 Customers and Vendors may post reviews, comments, or other content, provided such content is lawful, truthful, non-defamatory, and does not infringe third-party rights.
6.2 By posting content, you grant QuickMart a worldwide, royalty-free license to use, reproduce, and display such content for promotional and operational purposes.
7. PRIVACY AND DATA PROTECTION
7.1 QuickMart collects, processes, and stores personal data in accordance with its Privacy Policy and applicable data protection laws of Ghana.
7.2 By using the Platform, you consent to the collection and processing of your personal information as outlined therein.
8. LIMITATION OF LIABILITY
8.1 To the maximum extent permitted by law, QuickMart shall not be liable for:
- Indirect, consequential, or incidental damages;
- Losses caused by third-party Vendors or delivery providers;
- Loss or misuse of data beyond QuickMart’s reasonable control.
8.2 QuickMart’s liability for defective goods shall be limited to repair, replacement, or refund as applicable.
9. INDEMNIFICATION
You agree to indemnify and hold harmless QuickMart, its directors, officers, employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Platform.
10. AMENDMENTS
QuickMart reserves the right to amend these Terms from time to time. Revised Terms will be posted on the Platform, and continued use shall constitute acceptance of the amendments.
11. GOVERNING LAW AND JURISDICTION
11.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana.
11.2 Any dispute shall be subject to the exclusive jurisdiction of the courts of Ghana.
